The Indian Performing Right Society Limited (“the Company”) had issued Notice for the 54th Annual General Meeting (54th AGM) of the Company scheduled to be held on Tuesday, 24th September, 2024 at 11:00 A.M. I.S.T. through video conferencing (VC) or other audio-visual means (OAVM). The Notice of 54th AGM was sent through electronic mode to the members of the Company on 29th August, 2024 in due compliance with the provisions of the Companies Act, 2013 read with relevant Rules thereunder and the General Circulars issued by the Ministry of Corporate Affairs.
Members are further informed that subsequent to dispatch of Notice of 54th AGM as mentioned above, we are providing the link (referred below) to view/ download the Addendum to the Notice of the 54th Annual General Meeting containing resolution in respect of the nomination / candidature received from a member, in the category of Author – Composer Director, up to the last date for receipt of the same i.e. 09th September, 2024, for election of Director at the ensuing 54th Annual General Meeting along with Explanatory Statement thereof and the profile of the Candidate.
Further, the Addendum to the Notice also contains amendment to Explanatory Statement for Item No. 14 of the Notice for the 54th Annual General Meeting, related to alteration of Articles of Association of the Company by adoption of new set of Articles of Association in substitution and total exclusion of the existing Articles of Association.
